We are hiring a collaborative, agile, business-focused Vice President – General Counsel, who will report to the Chief Executive Officer. This position will work closely with various executives and department leaders on strategic partnerships and commercial transactions.
Your Mission
- Manage a high-volume contract portfolio
- Oversee and assist with complex global, regional and country-specific commercial agreement negotiations of various licenses and services, service agreements, and other technology and business agreements with customers and corporate partners
- Draft, negotiate, and finalize specific contracts across a wide range of supply chain subjects and offerings
- Advise and provide guidance on legal risks and exposures, providing creative and legally sound solutions for risk mitigation and to resolve issues presented in contract negotiations
- Actively work with relevant global, regional, and country sales team members in helping move sales opportunities forward, while identifying potential obstacles
- Manage business approval process for contract terms and review and approve any variances
- Evaluate and provide advice on issues and complex global transactions such as those involving data privacy, data security, partnerships, and intellectual property rights
- Develop legal processes and templates that promote quick and effective execution of contracts and agreements
- Analyze and provide strategic legal advice on new business objectives
- Collaborate with cross-functional teams in sales, finance, technology, and operations to identify market risks and help implement effective business solutions
- Identify risks and implement effective mitigation strategies for price changes, supply chain disruption, geo-political and regulatory changes
- Evaluate, monitor and assess practical implications of ToolsGroup efforts from a variety of government affairs perspectives
- Manage outside legal counsel to ensure high-value, efficient and cost-effective representation

Your Experience Includes
- JD from an accredited U.S. law school; licensed to practice law in at least one US jurisdiction
- 10-15 years of relevant law firm and in-house legal department experience with a SaaS company
- Standardization of terms and conditions globally, working with colleagues in different countries to ensure compliance with local laws and yet achieving consistency in best practices and contractual terms
- Highly skilled in drafting, reviewing and negotiating complex commercial agreements with clients, partners and vendors with minimal supervision in a fast-paced global environment
- Ability to build relationship with and manage outside counsel
- Participation in M&A deals and engaging outside counsel as required
- Experience with launching and maintaining a database of legal documents for the company
- Business-minded attorney with strong initiative, excellent client counseling, collaboration, and problem-solving skills
